If the Contract Says “AS IS,” Why Are We Still Negotiating?
Wait a minute… I thought we agreed to buy the house “AS IS!” 🤔
The buyer offers an “AS IS” agreement. The seller accepts the "AS IS" agreement. Then come the home inspections, repair requests, and conversations about credits at closing.
So…what exactly is “AS IS” about that?
Welcome to Florida real estate, where two little words can create a whole lot of confusion! 🌴
Here's what I tell my buyers and sellers: “AS IS” doesn't mean “take it or leave it.” And it certainly doesn't mean negotiations are over.
🔑 First, What Does “AS IS” Actually Mean?
Under Florida's Realtors/Florida Bar “AS IS” Residential Contract for Sale and Purchase, the seller isn't automatically obligated to make repairs based on what the buyer discovers during inspections.
But that doesn't mean the buyer has to purchase the property blindly or accept every problem that comes along with it.
In fact, the contract gives both parties some important options.
🔍 Buyers Have Rights. Sellers Have Choices.
Here's how it generally works:
-
🔎 The Buyer Can Investigate. During the agreed-upon inspection period, buyers can inspect the property and determine whether its condition is acceptable.
-
💬 The Buyer Can Negotiate. Discover a problem? You can request repairs, a closing-cost credit, or even a price reduction.
-
🤝 The Seller Can Say No. Just because a buyer requests something doesn't mean the seller must agree. Any new repair or credit obligation requires mutual agreement.
-
🚪 The Buyer May Walk Away. Under the standard “AS IS” contract, the buyer generally has the right to cancel during the inspection period, provided the proper written notice is delivered on time.
❄️ Let's Talk About That Air Conditioner…
Imagine you're buying a beautiful South Florida home. Everything looks great until the inspection reveals the air conditioner is on its last legs.
And let's face it… in Florida, air conditioning isn't exactly optional! ☀️🥵
The buyer requests a credit toward a new system.
The seller could refuse. But perhaps the seller wants to keep the transaction moving rather than put the property back on the market.
So, the seller agrees to a credit.
Did that violate the “AS IS” contract?
Not at all!
Both parties simply negotiated a mutually acceptable solution. That's real estate.
📝 What About Financing and Other Contingencies?
An “AS IS” contract doesn't automatically eliminate financing or other contractual contingencies.
Those provisions address whether certain conditions must be satisfied for the sale to proceed.
The “AS IS” language primarily addresses the property's condition and the seller's repair obligations.
Different provisions. Different protections. All important.
⚠️ Sellers, “AS IS” Doesn't Mean You Can Hide Problems!
Here's another misconception worth clearing up.
Selling “AS IS” does not give sellers permission to conceal known material defects that they are legally required to disclose.
Florida sellers still have disclosure obligations, and the contract generally requires the property to be maintained in the condition specified by its terms until closing.
Transparency matters, regardless of which contract you use.
⏰ One Deadline You Absolutely Cannot Ignore!
This is where things can get expensive if you're not paying attention.
Negotiating repairs does NOT automatically extend your inspection period!
You might be discussing a roof repair, negotiating an HVAC credit, or waiting for another contractor's estimate.
Meanwhile, that inspection deadline is getting closer.
If you need more time, get an extension agreed to in writing before the deadline expires.
Don't assume that because everyone is still talking, the clock has stopped ticking. It hasn't! ⏳
❤️ Why Having the Right Realtor in Your Corner Matters
Buying or selling a home is about more than agreeing on a price.
It's about understanding your options, protecting your interests, knowing when to negotiate, and recognizing when a deadline can change everything.
The title of the contract might be just two words — “AS IS.”
But the protections, responsibilities, and opportunities are all in the details.
And those details can make a very real difference to your bottom line.
